These general terms and conditions of business (hereinafter: "General Terms") govern access to the Outpost Chess DOO Belgrade application (hereinafter: "Application") and its use and are binding between you as a user and the company Outpost Chess DOO Belgrade with its registered office at Veljka Dugoševića 54, Belgrade, Serbia registered under registration number 21683582 (hereinafter: "Outpost Chess").
1. Definitions:
1.1. "Entry Fee" represents a fee paid by Participants to the Organizer in order to take part in Tournaments.
1.2. "Tournament" refers to the chess tournament organized by Organizer for which the Outpost Chess is engaged to collect and process Entry Fees.
1.3. "Participants" refer to individuals or entities registering to take part in the chess tournament, whether as players or other involved roles.
1.4. "Organizer" refers to the entity or individual responsible for planning, coordinating, and executing the Tournament.
1.5. "Client" refers to the entity, whether an Organizer or a Participant, engaging the services of the Outpost Chess.
2. Scope of Services:
2.1. The Outpost Chess, a limited liability company based in Serbia, agrees to act as a fee collector and processor for Tournaments, either on behalf of the Tournament Organizer or on behalf of individual Participants.
2.2. By executing payments through Outpost Chess’ Application, Participants acknowledge that they have read and accepted these General Terms and that Outpost Chess may collect and further execute payment of Entry Fees to Organizers on their behalf. Furthermore, Organizers hereby accept that Outpost Chess may collect Entry Fees on their behalf, as mutually agreed.
2.3. The services include, but are not limited to, collecting Entry Fees, as well as other expenses (if any), processing payments, withholding taxes and contributions (if applicable) and providing financial reports to the Client (if requested).
2.4. The Clients are aware that Outpost Chess does not represent the Organizer or Participants in any domain other than the collection and processing of hereby mentioned payments.
2.5. Participants agree to refer to the Organizer in case of any queries related to the Tournament invitation or Tournament itself, as the Outpost Chess's representation is limited to the hereby specified services.
2.6. In the event the Organizer and Outpost Chess agree that Outpost Chess pays prizes to Tournament winners (“Prizes”), the Outpost Chess may be legally required to withhold and pay taxes and contributions as prescribed by applicable local law(s) and/or international double taxation treaty/social security treaty (if applicable). Rates of such taxes/contributions may vary depending on Participant's and Organizer's tax residence and laws/international conventions (if any) between their countries of residence.
2.7. Clients hereby agree to provide Outpost Chess with any additional information and/or documents if required so by local authorities. In case Clients fail to provide such additional information/documents, Outpost Chess might be required to fully withhold taxes/contributions or apply higher tax rate, which shall be deducted from Entry Fees or Prizes. In this scenario, Organizers and Participants shall refer to each other in order to settle any issues.
3. Entry Fee Collection:
3.1. The Outpost Chess shall collect Entry Fees from Participants as specified by the Tournament Organizer. By using Outpost Chess Application, Clients accept such collection and appointment of Outpost Chess as processor of Entry Fees and all other payments (if any) in accordance with Tournament terms and conditions and these General Terms.
3.2. All collected Entry Fees will be held in a secure account designated for tournament-related transactions.
3.3. For all services specified herein, the Outpost Chess, a limited liability company based in Serbia, shall deduct a non-refundable net 10% commission from each Entry Fee collected as compensation for its services. This commission shall be calculated as an amount net of any taxes, fees and charges that might be applicable to processing of any payments stipulated herein.
3.4. Clients acknowledge that Outpost Chess may be legally required charge a 20% Value Added Tax (VAT), where applicable, to both net amount of Entry Fee and its own commission. Clients accept that in such case amount of applicable VAT shall be calculated on top of the commission from Article 3.3. of these General Terms.
4. Payment Processing:
4.1. The Outpost Chess, a limited liability company based in Serbia, will process payments using the secure Monri WSPay provider, ensuring the confidentiality and integrity of financial information.
4.2. Any transaction fees associated with payment processing may be borne by either the Organizer or the Participant.
4.3. Participants acknowledge that they may be subject to bank fees chargeable by their national or international banks. Neither Outpost Chess or Organizer shall be liable in case any bank decides to levy any fees to the Entry Fee.
4.4. Clients acknowledge that the Outpost Chess does not determine exchange rates for any currencies during the processing and collection of Entry Fees. Outpost Chess is not obliged engage in negotiating the exchange rate for any payment stipulated herein. Outpost Chess shall not perform any unnecessary exchanges, unless reasonably required so in order to finalize payment to the Client.
4.5. Clients hereby accept and understand that Outpost Chess is obliged to stay compliant with international bank transaction rules. Outpost Chess may reject (and shall not be liable in such case) to perform any transaction that is contrary to Organizer's or Tournament's policy or may be considered as circumventing or violating international sanctions imposed on individuals, organizations or countries as a whole.
5. Disbursement of Funds:
5.1. The Outpost Chess shall disburse funds to the designated recipient (Organizer or Participant) as per the agreed-upon schedule or conditions, after deducting the 10% commission to every processed Entry Fee and any applicable VAT.
5.2. The disbursement shall be made in the appropriate currency specified by the Client, and any currency conversion fees shall be deducted if necessary.
5.3. Outpost Chess or Organizer may require from Participant to provide bank account details in a currency deemed appropriate by both Outpost Chess and Organizer.
6. Reporting:
6.1. The Outpost Chess shall provide regular financial reports to the Organizer, detailing the collected Entry Fees, transaction details, and any associated fees, all in order to ensure transparent financing of the Tournament.
6.2. Reports shall be made available through a secure online portal or via email, as agreed upon.
7. Data Protection:
7.1. The Outpost Chess and Clients agree to comply with the Serbian Data Protection Law and General Data Protection Regulation (together “GDPR”) and will handle personal data in accordance with the GDPR principles.
7.2. Personal data collected during the registration and payment process will only be used for the purpose of facilitating the Tournament, performance of these General Terms and will not be shared with third parties without explicit consent.
7.3. The Outpost Chess will implement appropriate technical and organizational measures to ensure the security and confidentiality of personal data.
7.4. Clients have the right to request access to their personal data, as well as to request that their personal data be corrected, deleted or restricted in processing. For a more complete understanding of the rights you have in relation to your data, please read our Privacy Policy, i.e. other notices related to the protection of personal data.
8. Fiscal Receipts:
8.1. The Outpost Chess may be necessary to issue a fiscal receipt to the Participant for the Entry Fee.
8.2. Participants accept the delivery of such receipt either through the Outpost Chess's website, via email, or any other manner reasonably determined as adequate by the Outpost Chess.
8.3. Issuing of fiscal receipt to Participant may be deemed as a sufficient financial report on performed transaction.
9. Liability:
9.1. The Outpost Chess shall not be liable for any loss, damage, or inconvenience arising from the actions of Participants or Organizers.
9.2. The Outpost Chess's liability is limited to the effective collection and disbursement of Entry Fees (minus the 10% commission and any applicable VAT) on behalf of the Client as well as any other payments if specified so in the Tournament terms.
10. Termination:
10.1. By accepting these General Terms, Clients accept that Outpost Chess is just an intermediate between Organizer and Participants. Therefore, in case the Participant is unable to take part in the Tournament for any reason whatsoever, and Organizer accepts to refund Entry Fee to such Participant under the terms of the Tournament, the Outpost Chess shall disburse such Entry Fee back to the Participant. However, Clients hereby accept that Outpost Chess reserves the right to keep its commission (plus VAT, if applicable) for its services performed hereunder, either by deducting it from returned Entry Fee or charging the Organizer separately.
10.2. In case Outpost Chess or Organizer elect to terminate their contractual relationship, the Outpost Chess shall ensure all Entry Fees it holds for Organizer's Tournament shall be remitted to Organizer without delay. Such funds shall be remitted after deducting Outpost Chess' 10% commission and any applicable VAT in accordance with the agreed-upon terms.
11. Governing Law:
11.1.These terms and conditions shall be governed by and construed in accordance with the laws of the Republic of Serbia and/or Organizer's local laws, if applicable.
12. Miscellaneous:
12.1. Outpost Chess reserves the right to change these General Terms at any time. Clients shall be duly notified on any such amendments in an appropriate manner. In case Outpost Chess is not able to contact individual Client due to lack of its contact its information, such Client shall be deemed as duly notified on changes to General Terms by making them publicly available on Outpost Chess' website.
12.2. These General Terms constitute the entire agreement between the parties and supersede any prior discussions or agreements. However, and in addition to these General Terms, the Outpost Chess and Clients are entitled to enter into a separate contract or accept any other document containing special terms ("Special Terms") compared to the ones in these General Terms. In case of any discrepancies between clauses and provisions of General Terms and Special Terms, those specified in Special Terms shall prevail. 24.2. If any part of these General Terms and Conditions is found to be invalid or unenforceable, the rest of these terms and conditions will remain in effect.
12.3. Should any dispute arise between Outpost Chess and Clients, the dispute will be resolved through negotiation. If the negotiations fail, the dispute will be resolved in accordance with the laws of Serbia and the competent court in Serbia.
12.4. All terms expressed in these General Terms are gender-neutral. In instances where pronouns or other linguistic elements are used, they shall be interpreted and applied in a manner that includes all genders. The intention is to promote inclusivity and equality, and the use of masculine, feminine, or gender-specific language is not indicative of bias or preference. Outpost Chess and Clients hereby acknowledge and agree to the use of language that is neutral with respect to gender. I confirm that I have read and understood these General Terms and that I agree to be bound by them when using the Application.
